Allan's Off The Shelf provides a document preparation service. We prepare legal documents including company constitutions, share certificates, trust deeds, and SMSF deeds based on the information provided to us by clients.
The preparation of these documents does not constitute legal advice. We are not a law firm and do not hold an Australian Legal Services Board practising certificate. No solicitor-client relationship is created by your use of our services.
2. Not a Substitute for Legal Advice
The documents we prepare are standard-form documents suitable for straightforward structures. They may not be appropriate for all circumstances. We strongly recommend that you seek independent legal advice from a qualified solicitor before:
- Establishing any corporate or trust structure for significant asset protection, estate planning, or tax purposes
- Entering into any arrangement involving complex ownership or beneficiary structures
- Executing any document if you are uncertain about its legal effect or your obligations under it
3. Client Responsibility for Accuracy
We prepare documents based solely on the information you provide. You are responsible for ensuring that all information submitted to us is accurate, complete, and up to date. We accept no liability for errors in documents arising from incorrect or incomplete information provided by you.
4. Director ID Obligations
It is a legal requirement under the Corporations Act 2001 (Cth) that all directors obtain a Director ID before a company can be registered. It is your responsibility — not ours — to ensure that all directors named in an order hold a valid Director ID issued by the Australian Business Registry Services (ABRS). We will not lodge a company registration if Director IDs have not been provided.
5. ASIC Decisions
We prepare and lodge documents with the Australian Securities and Investments Commission (ASIC) on your behalf. While we use our best endeavours to ensure documents are correctly prepared, we cannot guarantee ASIC's acceptance or approval of any application. ASIC's decisions are final and independent of us. Any rejection, requisition, or delay by ASIC is outside our control.
6. Superannuation Compliance
SMSF trust deeds prepared by us are based on standard provisions compliant with the Superannuation Industry (Supervision) Act 1993 (Cth) at the time of preparation. It is the trustee's responsibility to ensure ongoing compliance with superannuation law, ATO requirements, and any changes in legislation after the deed is executed. We recommend seeking advice from a licensed financial adviser or SMSF specialist regarding the ongoing management and compliance obligations of your fund.
7. Trust Deeds
Trust deeds prepared by us are general-purpose documents. Specific tax, stamp duty, and legal implications vary by state and by the nature of the trust's activities. We recommend consulting a tax adviser or solicitor regarding the stamp duty obligations and tax implications applicable to your trust deed in your jurisdiction.
8. Limitation of Liability
To the fullest extent permitted by law, Allan's Off The Shelf is not liable for any loss, damage, or expense (including legal costs) arising from reliance on any document we have prepared, or from any decision made on the basis of information provided on this website. Our liability is limited as set out in our Terms & Conditions.
